GLOBAL HEMP GROUP SIGNS LOI TO DEVELOP HEMP CULTIVATION OPERATIONS AND A VALUE-ADDED HEMP PROCESSING ZONE

Surrey, BC — (July 29, 2015) — GLOBAL HEMP GROUP INC. (“GHG” or the Company”) (CSE: GHG / FRANKFURT: GHG / OTCQB: GBHPF) is pleased to announce that it has signed a Letter of Intent with Western Sierra Mining Corp. (“WSM”) (OTC: WSRA) of Edmond, Oklahoma to partner on the acquisition of agricultural lands for the purpose of hemp cultivation and the development of a Value-Added Hemp Processing Zone, strategically located adjacent to hemp farming areas.

To launch this project, GHG and WSM (the “Partners”) are currently evaluating a number of locations in the Western United States where hemp can be legally grown. This Hemp Processing Zone will be the first of its kind in exploiting the full potential of the crop, in just one location.

The vision for the Processing Zone is to transform the hemp seed into oil and protein powder for the food industry, utilize the leaves and flowers to extract Cannabidiol (CBD), a new and rapidly emerging industry, and to process the straw into fibre, hurd (woody core) and dust. The fibre will be further processed for the textile industry to supplement cotton and synthetic fibres. The hurd will be processed into chips to be utilized in sustainable building materials for the construction industry, and the dust recovered will be pelletized for a variety of target markets. Initial building materials produced will be utilized in the construction of the processing facilities and affordable work force housing for the Company’s employees. The design and construction of the hemp processing zone will incorporate sustainable materials and technologies with the goal of achieving a near net-zero carbon footprint. These facilities will produce sustainable hemp products that will replace carbon based products and sequester CO2 permanently.

The Partners will identify the first location within the next 90 days to ensure that all the permits and licenses are in place to begin initial hemp cultivation for the 2016 growing season. The Hemp Processing Zone will stimulate rural development and job creation in regions that need it most. This zone could potentially create 50 to 100 jobs upon initial launch, with the potential to ultimately create as many as 500 to 1,000 jobs as hemp production expands and the processing facilities are scaled up to accommodate increased production.

The funding required will be approximately million, allocated over a 12 to 18 month time horizon. Subsequent expansion could potentially be self funded from production and processing revenues. A subsidiary will be created for this venture, which will be jointly owned (50/50) by the Partners. WSM will contribute million in marketable assets to the venture which will be leveraged to raise the necessary investment capital required to launch the project. GHG will contribute the necessary expertise and technology required to cultivate and process the hemp into a wide variety of value-added products

The Company has also signed extensions to the Letters of Intent on the Skunk Magazine and House of Hemp (“HoH”) acquisitions to October 22, 2015. The due diligence on the House of Hemp acquisition has been prolonged as a result of a HoH reorganization. The due diligence on the acquisition of both companies has been postponed while the Company worked through the due diligence to close the JV with WSM.

GLOBAL HEMP GROUP SIGNS EXCLUSIVE SUPPLY AGREEMENT WITH HOUSE OF HEMP IN SOUTH AFRICA

Surrey, BC — (June 22, 2015) — GLOBAL HEMP GROUP INC. (“GHG” or the Company”) (CSE: GHG / FRANKFURT: GHG / OTCQB: GBHPF) is pleased to announce that it has signed an Exclusive Supply Agreement with House of Hemp (HoH), its Strategic Partner in South Africa (SA). This is the next step in the Company’s evolving relationship with HoH and a significant step forward in the development of the Company’s business efforts in South Africa.

House of Hemp is a private company based in Johannesburg, South Africa, and is the first and only South African company to be awarded an exclusive permit from the Department of Agriculture and the Department of Health to legally cultivate and process hemp in the country, as part of a seven year pre-commercial trial (2009-2015).

As part of the Agreement, HoH has agreed to exclusively source from GHG all of its requirements for raw and processed hemp materials. HoH has recently begun wholesaling a number of food related hemp products in South Africa, which will initially require delivery of whole and dehulled hemp seed, along with hemp oil. An initial sample order from GHG of 0.8 metric tons of hulled seed is being shipped this month. Upon confirmation of quality acceptance, additional multi ton orders are expected every two months thereafter. As part of the initial sample order, GHG assisted in fulfilling an order for 5,000 metric tons of whole seed. With the signing of this Supply Agreement, all subsequent orders will now be originating from the Company.

Deepening the relationship with HoH will give the Company an opportunity to tap further into the premier hemp company in South Africa, as the hemp industry is about to open up to commercial production and distribution.

HoH plans to fully exploit the potential of industrial hemp by utilizing its seed for oil and nutritional supplements, the straw for fibre and hurd, and the flowers and leaves for CBD extraction. Seed processing for oil and cake is being undertaken first, using imported seed from GHG and local production from under HoH stewardship. The straw will be processed into chips to be used for building materials in the construction of affordable and sustainable hemp homes.

There are a number of additional business opportunities that House of Hemp is currently developing in South Africa, which Global Hemp will be involved in, upon completion of its 50% acquisition of HoH. The following are some of these opportunities:

 

  • Development of New Varieties of Hemp Seed for South Africa – In conjunction with the Agricultural Research Council (ARC), two new varieties of hemp seed specific for fibre production, have been developed. These varieties are known as SAHemp1 & SAHemp2 and are co-owned by the HoH. In addition, the parties are launching another research program to develop new varieties with special focus for oils and CBD strains.
  • Importation of Live Hemp Seed – HoH has been granted exclusive rights to import live hemp seed into the country. Negotiations are currently underway to extend this agreement for an additional five years.
  • Cannabidiol (CBD) Extraction – HoH has been granted the permission to extract CBD from its current pre-commercial hemp production sites. This processing can be launched immediately with a minimum expenditure, using existing facilities and hemp supply from HoH’s pre-commercial trials
  • Research on Medical Cannabis – The South African government, through the Department of Science and Technology, has asked HoH to co-coordinate research efforts on medical cannabis jointly with the University of Free State.
  • Building Homes with Hemp Construction Materials – HoH has been invited by the Department of Housing Settlements to participate in the Reconstruction and Development Programme (RDP) to build a number of affordable and sustainable houses out of hemp building materials. These hemp homes are expected to qualify for carbon credits that could offset some of the cost of development.
  • Fibres for Textile and Bio-composites – HoH is working with the Council for Industrial and Scientific Research (CSIR) doing research on the processing of hemp straw into fibres for the textile and the bio-composite industries.
  • Agricultural Development Program – HoH has been in negotiation with the Department of Rural Development and Land Reform (DRDRL) to use hemp as a crop that will be central to a large agricultural development program. The program entails land grants in exchange for HoH introducing hemp to targeted farming communities, as well as training the farmers, providing expertise, and marketing their products.
  • Pilot Program to Utilize Hemp Products for Food – The South African Department of Social Development has invited HoH and CSIR to present a pilot program to explore using hemp and other natural foods to bring nutritious foods to vulnerable elements of the rural population.

House of Hemp has been the coordinator of all these efforts on behalf of the private sector and has funded and/or found support for these research efforts. This shows the extent of the trust enjoyed by HoH in South African government circles, and various areas of collaboration.

Other notable details about the South African hemp market:

  • South Africa is on the verge of legalizing commercial hemp production and indications are that extraction of its non psychotropic components will be permitted.
  • HoH is working with the National Agricultural Marketing Council (NAMC) in the preparation of a study, which will be submitted to the government in 2015 for their final decision regarding the full legalization of hemp cultivation.
  • SA has a sizeable wealthy population that can afford the nutraceuticals derived from hemp seed.
  • SA has a very progressive policy to redress the injustices of apartheid through a number of programs such as the Reconstruction and Development Program (RDP) where low cost houses are distributed to the poor. HoH will participate in these programs to build hemp houses and provide a source of jobs in rural communities.
  • SA offers market opportunities that are not found elsewhere in the world. HoH is well positioned to tap into these opportunities through the confidence it has generated in developing the hemp industry in South Africa.

GLOBAL HEMP GROUP EXTENDS DEADLINE ON LETTERS OF INTENT

Surrey, BC — (June 12, 2015) — GLOBAL HEMP GROUP INC. (“GHG” or the Company”) (CSE: GHG / FRANKFURT: GHG / OTCQB: GBHPF) announces that the ongoing due diligence process relating to its acquisition of both Skunk Magazine (as announced March 9, 2015) and House of Hemp (originally announced December 19, 2014 and amended March 23, 2015), is going well, but requires additional time to complete. In that regard, the terms of the Letter of Intent for the Skunk Magazine acquisition has been extended to July 15, 2015, and the terms of the House of Hemp acquisition has been extended to July 15, 2015. Management expects to submit final documentation for regulatory approval prior to these dates.

In addition, the Company announces the closing of a second and final tranche of of its non-brokered private placement of unsecured convertible debenture (CD) units (the “Offering”), for total gross proceeds of

The debenture pays an annual interest rate of 15% per annum. No interest will be paid during the three-year term, but will accrue until maturity or conversion. Each unit of the CD will come with 28,571 warrants exercisable at a price of for a period of three years. The Company issued 3,571,375 warrants in connection with the second tranche of the placement, for a total of number of warrants issued for the placement of 7,142,750. The debenture is convertible into common shares of the Company at at any time during the three year period of the note. The proceeds of the Offering will be used to reduce payables and working capital for general corporate purposes. A finder’s fee of and 56,000 warrants exercisable at per share for a period of one year from the date of the subscription will be paid on this second tranche. The total finder’s fee paid in connection with this placement was and 112,000 warrants exercisable at per share for a period of one year from the date of the subscription.

GLOBAL HEMP GROUP CLOSES FIRST TRANCHE OF ITS UNSECURED CONVERTIBLE DEBENTURE

Surrey, BC — (May 4, 2015) — GLOBAL HEMP GROUP INC. (“GHG” or the Company”) (CSE: GHG / FRANKFURT: GHG / OTCQB: GBHPF) is pleased to announce the closing of a first tranche of of its non-brokered private placement of unsecured convertible debenture units (the “Offering”).

The debenture will have an annual interest rate of 15% per annum. No interest will be paid during the three-year term but will accrue until maturity or conversion. Each of the debenture will come with 28,571 warrants exercisable at a price of for a period of three years. The debenture is convertible into shares of the Company at at any time during the three year period of the note. The proceeds of the Offering will be used for working capital and general corporate purposes. The first tranche consists of cash and in exchange for forgiveness of indebtedness for monies previously paid on behalf of the Company. A finder’s fee of and 56,000 warrants exercisable at per share for a period of one year from the date of the subscription will be paid on this first tranche.

All securities issued in connection with the Offering will be subject to a statutory four month hold period

The Company also announces that it has retained the services of Renmark Financial Communications Inc. to handle its investor relations activities. In consideration of the services to be provided, the Company has agreed to a six month contract at per month, beginning May 4, 2015. Mary Patton’s experience in the cannabis industry is storied and extensive. Since her humble beginnings as a volunteer at legalization rallies in the Midwest in the late ’80s, she has been on a mission to improve cannabis laws. Harnessing the power of the entertainment industry as a platform to influence public perception whenever possible, eventually led her to positions with The Marijuana Policy Project, Governor Gary Johnson’s Our America Initiative and his 2012 Presidential campaign, where she continued to put high profile celebrities and influential leaders in the spotlight to amplify the message of sensible cannabis policy reform.

Mary continues to contribute her expertise to numerous cannabis industry leaders and non-profit groups. Dr. Gerry Bedore, the President of Cannabis State University, is widely known as a thoughtleader in technology enhanced learning models. Dr. Bedore was a Co-Founder of Socrates Distance Learning Technology Group, and has published studies and books focused on online student success and completion rates. He is recognized in developing many of the most successful higher education online programs in the world today. As a Horticulturist for the State of Georgia, Dr. Bedore was recognized for his expertise in entomology and pathology in the care of plant life in the State of Georgia. He has authored one book, co-authored two books, and has served as a Research Chair and Committee Member for 200+ studies in Education, Psychology, and Business Disciplines.

(“GHG” or the “Company”) (CSE: GHG / FRANKFURT: GHG / OTCQB: GBHPF) is pleased to announce that as part of the development of its Media Division, the Company has signed a Letter of Intent to acquire 100% of Skunk Magazine, a well know publication in the Cannabis space.

Founded in 2005, Skunk Magazine (“SM”) is a Canadian, paper based, cannabis focused magazine offering feature articles about cannabis cultivation, legislation, medical and adult use of cannabis, the sustainable and social solutions that hemp offers, and exposing the secrets of the worldwide “War on Drugs”. Historically, advertisers in SM have mainly been cannabis breeders and suppliers of growing equipment. The upcoming expansion of the content to include hemp, environmental and social subject matter will significantly expand Skunk’s advertiser base to new markets. SM which has a wide readership base in North America through hard copy subscription and newsstand sales, is now expanding online and will include an online store, Skunk TV, blogs, as well as original feature articles on a much more broad range of subjects.

Pursuant to the LOI, GHG has been granted an exclusive 90 day period to complete its due diligence and settle on a mutually agreed upon final valuation of Skunk Magazine, which is not expected to exceed $500,000. The consideration for this transaction is expected to be a combination of cash and GHG common shares that is suitable to both parties.

The completion of the transaction is subject to a number of conditions including signing of a Definitive Purchase Agreement by June 4th, 2015 and Regulatory Approval. A finder’s fee may be paid in conjunction with this transaction

He founded CannaWorx, Inc., which owns and operates the Cannabis Career Institute, founded in 2009 and Cannabis State University, founded in 2010. He has also written the curriculum for Oakland’s Oaksterdam University, which was the basis for his 2008 cannabis entrepreneurship bible “Starting Your Own Medical Marijuana Delivery Service: The Mobile Caregiver’s Handbook.” He is currently the instructor of Delivery 102 at Oaksterdam University. After a two-year stint with Quebec’s farm credit system, in 2003 he started his own hemp building company, ArtCan Enterprises. In 2012, he expanded his interest to hemp cultivation and provided consulting services to prospective hemp farmers. GLOBAL HEMP GROUP ANNOUNCES CONSULTING AGREEMENT WITH GREEN DOT CONSULTING, INC.

Surrey, BC — (February 2, 2015) — GLOBAL HEMP GROUP INC. (“GHG” or the “Company”) (CSE: GHG / FRANKFURT: GHG / OTCQB: GBHPF) is pleased to announce it has entered into a mutual consulting agreement with Green Dot Consulting, Inc. (“GDC”), of Burbank, California, an experienced leader in cannabis industry education; data analytics; legislation; product & business development; extractions, genetics and more. The GDC team has a long and successful track record building brands like Cannabis Career InstituteTM, CannaTrendsTM, CannaJobsTM and many others.

The agreement calls for Green Dot to consult the Company on the expansion of its business model into the medical cannabis industry and associated projects, and GHG will consult with Green Dot on its expansion into the hemp industry and associated projects.

Initially GHG will consult for Cannabis Career Institute (“CCI”) on expanding curriculum to include coursework on hemp economics, business opportunities; building materials, food & nutrition, cultivation, genetics, processing, biocomposites, etc. GHG staff will hired to speak at CCI classes on the business of hemp and the entrepreneurial opportunities available in the hemp industry. In addition, Green Dot is gearing up for several cultivation facility construction projects that they intend to build with hemp materials. GHG will consult on the design, materials selection and sourcing, construction, automation, optimization and management of these facilities.

Global Hemp Group has been receiving a increasing number of inquires regarding consulting on medical cannabis related projects as the industry continues to rapidly expand.
